Terms of Use

These Terms govern your use of Verso, a PDF editor and reader for macOS published by MAHTCA GLOBAL. They are written to be read, and the short version is that the app is a tool you run on your own machine, we collect nothing, and Apple handles every payment.

1. Overview and how these Terms fit together

These Terms govern your use of Verso for macOS and this website. Alongside them sit the Privacy Policy, which describes what the app collects (nothing), and the Acceptable Use Policy, which describes what the app may not be used for. Apple's own Licensed Application End User Licence Agreement also applies to any app obtained from the App Store; where it conflicts with these Terms, Apple's terms prevail to the extent of the conflict.

2. Acceptance and termination

Downloading, installing or using Verso means you accept these Terms. If you do not accept them, do not use the app. You may stop at any time by deleting it; your documents are unaffected, because they were never held by us. We may terminate the licence if you materially breach these Terms or the Acceptable Use Policy.

3. Age requirement

You must be old enough to form a binding contract where you live, and at least 13 years old, to use Verso.

4. The licence granted to you

You are granted a personal, non-exclusive, non-transferable, revocable licence to install and use Verso on Apple-branded devices you own or control, as permitted by the App Store terms and by Family Sharing where it applies. Premium features unlock according to the purchase you have made.

5. What the licence is not

The licence does not permit you to sell, rent, lease, sublicense, lend or redistribute the app; to reverse engineer, decompile or disassemble it except to the extent that law expressly permits despite this restriction; to remove or obscure any proprietary notice; or to use the app's name, icon or branding in a way that suggests endorsement.

6. What you are responsible for

You are responsible for the documents you open, create and distribute with Verso, for having the right to work with them, and for the consequences of sharing them. Verso is a tool; the judgement about what a document should say, who may see it and what must be removed before it goes out remains yours.

Redaction and flattening are permanent

Redaction removes content from a document, and flattening fixes annotations irreversibly into the page. Both are destructive by design — that is what makes them useful. Keep the original if you may need it, and check the result before you send it. Verso takes a snapshot before the most destructive operations, but the responsibility for verifying the outcome is yours.

7. No data collection by the publisher

We collect no personal data through the app or this website. There is no account, no sign-in and no server of ours that your documents reach. The Privacy Policy sets this out in full.

8. Local processing and storage

Everything Verso does happens on your device: reading, markup, editing, text recognition, conversion, compression, redaction, form handling, comparison, batch processing and the assistant. Performance therefore depends on your Mac, and features that rely on facilities macOS provides are available only where macOS provides them.

9. Your documents live in one place, and backups are yours

Verso does not hold a copy of your work. Snapshots are kept on your own Mac and are a convenience, not a backup. Maintaining backups of your documents — with Time Machine, a cloud drive or anything else you trust — is your responsibility, and we cannot recover anything for you.

10. Output is not advice, and accuracy is not guaranteed

Text recognition, conversion between formats, comparison of two versions, the accessibility check and the assistant all produce results that are useful but not infallible. Recognition can misread a character; conversion cannot always reproduce a complex layout exactly; comparison reports differences rather than judging them; the accessibility check reviews a document against common criteria and is not a certification. Nothing Verso produces is legal, financial, medical or professional advice. Check anything that matters before you rely on it.

11. Documents and material you bring in

You keep every right you already had in the documents you open, edit and export. We claim nothing in them. You are responsible for ensuring you are entitled to modify, redact, convert or redistribute any document you work with, including where it is subject to copyright, confidentiality or a licence held by someone else.

12. Exports, printing and sharing

Exported, converted, compressed and printed output is produced on your machine and handed to whatever destination you choose. Once it leaves Verso it is beyond our reach and subject to the terms of wherever you sent it.

13. Purchases, payments and refunds

Verso is free to download. Reading, navigation and the whole of page organisation are free permanently and require no purchase. Premium unlocks the remaining features and is offered as an auto-renewing subscription — weekly, monthly or annual — or as a one-time lifetime purchase.

CancellingManage or cancel a subscription in your Apple Account settings, at least 24 hours before the period ends. We cannot cancel on your behalf and never see your payment details.
RestoringPurchases restore through the Apple Account that made them.
RefundsApple is the merchant of record and handles all refunds through its own process. We cannot issue one.

14. Apple's role

Apple is not a party to these Terms and has no responsibility for the app or its content. Apple has no obligation to provide maintenance or support for Verso. In the event of a failure to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app. Apple is not responsible for addressing any claim relating to the app, including product liability, regulatory non-compliance or consumer protection claims. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

15. Maintenance and support

Support is provided by us, by email, at verso@mahtca.com, on a reasonable-efforts basis. Because we hold no copy of your documents and no account of yours, support consists of advice and bug fixes rather than data recovery.

16. Intellectual property in Verso

Verso, its interface, its name, its icon and its documentation are owned by MAHTCA GLOBAL and protected by copyright and other laws. Nothing in these Terms transfers any of that to you.

17. Security

Verso runs in the macOS sandbox and reaches only the files you open. It cannot protect a document from the machine it sits on: keep FileVault on, keep your Mac's password strong, and use the app's password protection for copies that leave your hands.

18. No warranty

To the maximum extent permitted by law, Verso is provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, accuracy or non-infringement. We do not warrant that the app will be uninterrupted or error-free, or that every document will convert, recognise or render perfectly.

19. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost data, lost documents or business interruption, arising out of or relating to the app, however caused. Our total liability for all claims relating to the app is limited to the amount you paid for it in the twelve months before the claim arose, or ten euro, whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded.

20. Indemnity

You will indemnify and hold us harmless from any claim arising out of your use of Verso in breach of these Terms or the Acceptable Use Policy, or out of a document you produced, altered or distributed with it.

21. Export control and sanctions

You confirm that you are not located in, and will not use Verso from, a country subject to an embargo that would make its supply unlawful, and that you are not on any list of prohibited or restricted parties.

22. Consumer rights preserved

If you are a consumer, nothing in these Terms affects the rights that mandatory law in your country gives you, including any statutory right of withdrawal and any statutory conformity guarantee. Where those rights conflict with a term here, the mandatory right prevails.

23. Changes to the app and to these Terms

Verso is developed continuously; features may be added, altered or, occasionally, retired. If these Terms change, the version number and effective date at the top change with them, and the current version always lives at this address. Continuing to use the app after a change means you accept the revised Terms.

24. Severability, waiver and assignment

If a provision is held unenforceable, the rest remains in force and the unenforceable provision is read down to the minimum extent necessary. Failing to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition or sale of assets.

25. Entire agreement

These Terms, with the Privacy Policy and the Acceptable Use Policy, are the entire agreement between you and us about Verso, and replace any earlier understanding about it.

26. Governing law and jurisdiction

These Terms are governed by the law of Romania, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980). The courts competent for the registered office of MAHTCA GLOBAL have jurisdiction over any dispute in connection with them. If you are a consumer, this choice does not deprive you of the protection of the mandatory law where you live, and you may bring proceedings in the courts of that country.
